  • structuring alternative investment funds, with contractual (fondi comuni di investimento) and corporate (SICAF) structures, funds of funds, parallel funds and co-investment funds, including drafting and negotiation of all the organizational and marketing documentation of the fund
  • incorporation of asset management companies and assistance with their authorisation procedure before the supervisory authorities
  • structuring and set-up of Italian branches of international managers and relevant passporting procedures and filings with the Italian authorities
  • structuring and set-up of carried interest vehicles and other arrangements governing carried interest split and vesting

  • Primary market investments in Italian alternative investment funds, including analysis, review and negotiation of funds’ LPAs, subscription packages and side letters;
  • Secondary market investments in Italian funds, including drafting and negotiation of SPAs, side letters and security package;
  • Co-investment transactions of investors alongside funds they are invested in, including review and negotiation of investment agreements, shareholders’ agreements and security package.
