Giovannelli e Associati advised Lexroom.ai—one of Italy’s leading artificial intelligence start-ups in the legal technology sector—on its external growth strategy. The engagement supported Lexroom.ai’s expansion in Italy and internationally through a series of strategic acquisitions: the acquisition of Sequeri S.r.l., the company behind Brocardi.it, in Italy; and the acquisitions of Query Jurist in France and Praven Intelekt in Bulgaria.
Lexroom.ai acquired 100% of Sequeri S.r.l., owner of Brocardi, one of the most widely consulted legal information platforms in Italy, with over 4 million monthly visits and around one million registered users. The transaction brings twenty years of legal content, curated by an independent editorial team, into Lexroom’s AI infrastructure.
Lexroom.ai also acquired 100% of the French company Query Jurist and the Bulgarian company Praven Intelekt, marking the company’s first international M&A transactions. Query Jurist has developed a legal search platform in France linked to over five million French and European documents, with nearly 300 clients and around 1,000 active licences. Praven Intelekt, meanwhile, provides Lexroom with access to the Bulgarian market, with over 900 clients and a product dedicated to national law aimed at law firms, in-house legal departments and public bodies. As a result of these two transactions, which follow Lexroom’s organic growth in Germany and Spain, the company now operates in five European markets, including Italy.
Giovannelli e Associati advised Lexroom on all these transactions on all corporate and structuring aspects with a team led by partner Matteo Colombari and comprising associate Filippo Camerada and trainee Camilla Caliterna, as well as on the tax and tax structuring aspects of the acquisition of Sequeri S.r.l. with a team led by partner Eugenio Romita and comprising associates Lorenzo Mazzocconi and Gabriele Del Bianco.
