Giovannelli e Associati with Gradiente on the acquisition of Agriforge

Gradiente SGR S.p.A. — acting as manager of the Gradiente III mutual fund — completed the acquisition of 100% of the share capital of the companies in the Agriforge group, consisting of Agriforge S.r.l., Bertoni Forgiati S.r.l., and Saba S.r.l.—which manufactures components for the agricultural market, with plants in Luzzara (RE) and Vestone (BS).

The transaction was carried out through Ironfield S.r.l., a special-purpose vehicle owned by Gradiente, and three newly incorporated companies, and was preceded by a corporate reorganization of the group.

Giovannelli e Associati assisted Gradiente on all activities related to the preparation and negotiation of the contractual documents, with a team led by partner Enrico Troianiello and composed of senior associate Giacomo Mario Pino, associate Eugenia Arrigoni, and trainee Emanuele Tei. For the banking aspects related to the financing, Gradiente was assisted by the team led by partner Marco Amoruso comprising senior associate Antonio Campo, associate Sofia Grillo, and trainee Maria Pia Gioiosa; for labor law matters, by partner Andrea Scarpellini and associate Guido Passadore; and for administrative and environmental matters, by the team led by partner Paolo Bertolini and comprising senior associate Najwa Hamidallah and trainee Greta Koler.
