Giovannelli e Associati with BMG Pharma on the contribution of a business unit to Healthea Licensing S.r.l. and on the subsequent sale of the latter to BioDue

BioDue S.p.A., a subsidiary company of the U.S. fund The Riverside Company, acquired Healthea Licensing S.r.l., a company to which a business unit was contributed by BMG Pharma S.p.A consisting, among other things, of medical devices pertaining primarily to the therapeutic area of oral care and dermatology, and the related existing contractual distribution relationships with leading global pharmaceutical companies.

Giovannelli e Associati assisted BMG Pharma S.p.A. on all the legal aspects of the transaction with a team led by partner Alessandro Giovannelli assisted by senior associate Matteo Bruni and associate Filippo Noci, for all the legal aspects, and partner Eugenio Romita and senior associate Matteo Giacomelli for the tax aspects of the transaction.
