Giovannelli e Associati is advising Ardian and Dedalus Holding in the context of the binding offer and the entering into exclusive negotiations for the acquisition of part of the Agfa-Gevaert’s healthcare IT business. In particular, Giovannelli e Associati is advising, among others, on corporate matters of Dedalus group, due diligence on Dedalus group and the entering into new arrangements between Ardian and Giorgio Moretti (the founder) and his holding company, Health Holding Company.
Dedalus Holding, a portfolio company of Ardian, is a leading international group active in the healthcare software business.
Agfa-Gevaert is a multinational group engaged in the developing and distribution of an extensive range of imaging systems and IT solutions.
Fabrizio Scaparro led the firm’s team, which comprised also associates Paola Cairoli, Paola Pagani, Giulia Contestabile, Maria Costa and Giulia Toscano and, for the labour matters, of counsel Giuseppe Matarazzo.
