Giovannelli e Associati with Dedalus on the acquisition of 100% of OSM AG
11/06/2021Giovannelli e Associati advised Dedalus on the acquisition of the entire share capital of Dosing GmbH, a leading German provider of Software-as-a-Service (SaaS) medication safety solutions.
Dedalus, a portfolio company of Ardian, is a leading international group active in the clinical healthcare software business sector. Fabrizio Scaparro led the firm’s team, which comprised also Paola Pagani and Augusto Fracasso for all aspects related to the acquisition and Paola Cairoli for the aspects related to the sellers’ reinvestment in Dedalus.
Loeschner Rechtsanwaltsgesellschaft mbH assisted Dedalus for the German law aspects of the transaction with a team led by Ramin Loeschner and comprising also Lisa Stutzmann and Andrea Mangelsdorf. Dedalus was also assisted by an in-house legal team led by group general counsel Giovanni Cucchiarato, in coordination with group CFO Angelo Maresca, group controller and head of M&A Andrea Ciceri and group head of tax Giovanni Aprile.
