Giovannelli e Associati advised Objectway, a multinational group based in Italy and active in the design of IT solutions for the asset management industry, on the cross-border acquisition of Die Software, a German-Swiss group specialized in IT solutions for the banking industry.
Our team, composed by partners Matteo Delucchi and Eugenio Romita, senior associate Antonello Lops and associate Lorenzo Mazzocconi, advised the purchaser on the SPA, the SHA, the related Italian corporate matters as well as on the tax structuring of the acquisition and of the financing, and coordinated four foreign law firms (three in Germany, one in Switzerland) which assisted the purchaser on the local legal and tax matters.
